1. INTRODUCTION

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "Merchant," "Customer," or "Rider," as applicable) and Naarad Express Pvt. Ltd. ("Naarad Express," "Company," "we," "us," or "our").

These Terms govern your access to and use of our website, mobile applications, APIs, and courier, logistics, and delivery services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.


2. DEFINITIONS

Parcel: Any package, document, or shipment entrusted to Naarad Express
Merchant: Any individual or business sending Parcels
Customer: The recipient of a Parcel
Rider: An independent contractor providing delivery services
COD: Cash collected upon delivery on behalf of the Merchant
Platform: Website, apps, and systems operated by Naarad Express
Service Order: A confirmed booking request on the Platform


3. NATURE OF SERVICES

3.1 Naarad Express acts solely as a logistics facilitator and does not own, manufacture, or sell the contents of any Parcel.

3.2 Services include:

  • Parcel pickup and delivery
  • COD collection and settlement
  • Returns and exchange logistics
  • Warehousing and fulfillment

3.3 Service availability may vary based on geography, weather, operational constraints, and external factors.

3.4 We reserve the right to modify, suspend, or discontinue Services at any time.


4. ELIGIBILITY AND VERIFICATION

4.1 Users must be at least 18 years old.
4.2 Users must provide accurate and complete information.
4.3 The Company may request identity verification (KYC), including government-issued ID, business registration, or tax documents.
4.4 The Company reserves the right to approve, suspend, or terminate accounts at its sole discretion.


5. MERCHANT OBLIGATIONS

5.1 Merchants must provide accurate shipment details including recipient information, weight, and declared value.

5.2 Merchants are solely responsible for the legality, authenticity, and condition of Parcel contents.

5.3 Proper packaging is mandatory. Fragile items must be securely packed.

5.4 Merchants must not ship:

  • Cash, passports, or financial instruments
  • Extremely high-value goods without insurance
  • Items prohibited by law

5.5 Incorrect address or recipient details resulting in failed delivery are the Merchant’s responsibility.

5.6 Misdeclaration (weight, value, or contents) may result in penalties or suspension.


6. RIDER RELATIONSHIP

6.1 Riders are independent contractors and not employees of the Company.

6.2 Riders are responsible for their vehicle, fuel, licenses, and compliance with traffic laws.

6.3 The Company is not liable for Rider negligence, misconduct, or accidents.


7. DELIVERY TERMS

7.1 Delivery timelines are estimates and not guaranteed.

7.2 Delivery attempts:

  • At least one attempt will be made
  • Additional attempts may be made at Company discretion

7.3 If the recipient is unavailable, the Rider may:

  • Deliver to a nearby person or location
  • Leave the Parcel in a safe place
  • Reschedule delivery
  • Return the Parcel after a defined period

7.4 Delivery proof (OTP, signature, or photo) constitutes conclusive evidence of delivery.

7.5 Parcels may be returned after maximum attempts at applicable charges.


8. RETURNS AND FAILED DELIVERIES

8.1 Parcels may be returned due to customer refusal, incorrect address, or unreachable recipient.

8.2 Return charges apply and are deducted from Merchant settlements.

8.3 Unclaimed Parcels may be disposed of at Company discretion after a reasonable period.


9. PROHIBITED AND RESTRICTED ITEMS

Strictly prohibited items include:

  • Illegal drugs and narcotics
  • Weapons and explosives
  • Hazardous materials
  • Counterfeit goods
  • Currency and negotiable instruments
  • Perishable or liquid items without approval

9.1 The Company may inspect any Parcel.
9.2 Prohibited items may be confiscated, destroyed, or reported without notice.
9.3 Merchants bear full legal liability.


10. CHARGES AND PAYMENTS

10.1 Fees are based on weight, distance, and service type.

10.2 If actual weight differs, charges will be adjusted.

10.3 Payments may be prepaid or COD. Riders may cancel orders if payment is not made.

10.4 COD settlements are processed within standard cycles (T+2 / T+3 working days) and are subject to deductions.

10.5 Payments are generally non-refundable once service has commenced.


11. REFUNDS AND CANCELLATIONS

11.1 Refunds are applicable before dispatch or in case of Company failure.

11.2 No refunds after dispatch unless required by law.


12. LIABILITY AND LIMITATION

12.1 The Company exercises reasonable care but does not guarantee damage-free handling.

12.2 Liability is limited due to unknown Parcel value.

12.3 Total liability shall not exceed fees paid in the preceding three (3) months.

12.4 The Company is not liable for indirect or consequential losses.


13. INSURANCE AND CLAIMS

13.1 Optional insurance is available.

13.2 Compensation is limited to declared value or coverage limit.

13.3 Claims must be reported within 48 hours.


14. FORCE MAJEURE

The Company is not liable for delays due to events beyond control, including natural disasters, strikes, road blockages, pandemics, or government actions.


15. FRAUD AND MISUSE

15.1 Suspicious activity may be investigated.

15.2 Actions may include account suspension, payment withholding, or legal action.

15.3 Fake orders, COD misuse, or Rider abuse is strictly prohibited.


16. USER ACCOUNTS AND SECURITY

Users are responsible for safeguarding credentials. Unauthorized use must be reported immediately.


17. DATA PROTECTION AND COMMUNICATION

17.1 Data is processed per the Privacy Policy.
17.2 Data may be retained for legal and operational purposes.
17.3 Users consent to receiving SMS, calls, and notifications.


18. THIRD-PARTY SERVICES

The Company is not liable for failures of third-party services such as payment gateways or mapping systems.


19. INTELLECTUAL PROPERTY

All intellectual property remains the exclusive property of the Company. Unauthorized use is prohibited.


20. INDEMNIFICATION

Users agree to indemnify the Company against claims arising from misuse, illegal shipments, or breach of these Terms.


21. TERMINATION

The Company may suspend or terminate access for violations. Outstanding obligations survive termination.


22. DISPUTE RESOLUTION

Disputes shall be resolved through negotiation. If unresolved, arbitration under Nepal law shall apply, and courts of Kathmandu shall have jurisdiction.


23. AMENDMENTS

We may update these Terms at any time. Continued use constitutes acceptance.


24. MISCELLANEOUS

Severability applies.
No waiver by failure to enforce.
Entire agreement clause applies.
Rights may be assigned.
